It is not the numbers that matter, but how Independent Directors are being appointed to the Board of Companies.

When companies and their management staff have the sole prerogative to appoint Independent Directors, when the remuneration and tenure of Independent Directors are dependent on the goodwill of company management, how independent can Independent Directors be? Like it or not, Independent Directors have vested interests to maintain a cordial relationship with the companys management and even major shareholders. There is thus a need to balance the opposing demands to oversee company operations in a professional manner and, on the other hand, to be acceptable to company management so as to be nominated to the board again.

Independent Directors who are too thorough, too demanding, or even becoming whistle blowers, will soon work themselves out of all company boards. They will carry their reputations along with them and will not be appointed to any boards in a matter of time. No whistle blowers can ever hope to be invited to sit in any organizations. They can blow their whistles only once.

In order to maintain as a relationship as possible, and to improve the chances of being reappointed, Independent Directors may have to compromise their positions, and may even restrain themselves in the execution of their duties, thus undermining their roles as the watchdog of company wrongdoings.

A new procedure to appoint Independent Directors is obviously needed. Independent Directors must be appointed independent of company management. Those appointed by company management have a credibility problem. There will always be a doubt as to whether they can be truly independent if their benefactors are the company management. It is a practical and real issue. The setting up of an unrelated independent body to appoint Independent Directors to company boards is a prerequisite to impartiality and transparency. The position of Independent Directors must not be compromise in anyway if they are to do a proper job. Otherwise it is a fallacy to believe that Independent Directors are really independent. What good is there if all the Independent Directors are either the relatives, friends or drinking kakis of the management, chosen and paid for by the management?

A possible candidate to take on this task is the Stock Exchange itself. Or alternatively the Securities Investors Association of Singapore, SIAS, can be appointed by SGX/MAS to assume this role. SIAS is an ideal candidate as it is the representative of small investors who, as a group, represented quite a substantial interest in companies listed in the SGX. The small investors have so far been the victims of all these corporate frauds, and it is time that their interests be taken care of. Independent Directors selected and appointed by an organization representing small investors could fit in this role nicely. No other organization can claim to represent the small investors and to defend their interests. By giving SIAS a bigger role in this area, SGX and MAS can then be seen to be fair to the small investors.

For the Independent Directors to be effective, three Independent Directors should come from SIAS and be represented in the Nomination, Remuneration and Audit Committees of the Companies. These committees shall provide the Independent Directors with access to information that affects the health and wealth of the companies.

SIAS can set up a department to select, train and appoint Independent Directors under a set of guidelines that best served to protect the interests of small investors, and in the process self regulate company operations and management to comply with SGX regulations and good governance.

An added feature is for SGX to emphasise the responsibilities and accountability on all Independent as well as non Independent Directors. Appointment to company boards must not be seen as a birthday party, but a serious undertaking that demands professionalism and integrity. All directors, including Independent Directors, shall be held accountable for negligence, wrongdoings or not doing their due diligence while on the boards. They must be made aware that they are holding in trust the interests of all investors, large and small, and must not be found wanting, or they will be taken to task. They are paid to do a job and this comes with a heavy responsibility.

B. Responsibilities and Accountability of Issue Managers and Auditors

Issue Managers are the key people who promote and market a company to investors resulting in large sums of monies being invested by the public. The Issue Managers and their associates, especially the management and finance professionals, are the people in the know. They are also the people who prepare the company operations and financial reports. How truthful, accurate and proper are these reports will solely be dependent on the professionalism, trustworthiness and integrity of these professional people. The investors, including professional fund managers, are likely to make their decisions based on these reports and the presentation of the company by the Issue Managers and the management.

It is accepted that Issue Managers/Auditors and company management will want to present the best picture they can to the investors. It is their task to sell the company. What the investors and regulators can hope for is that these people are truthful and professional in the packaging and marketing of the companies. They are expected to do their due diligence. They are not expected to make misrepresentation of the companies, or worst, make fraudulent reports to deceive the investors into investing in unsound companies.

Recommendation 2

Nothing short of accountability and making good of what the Issue Managers/Auditors and company management made their companies out to be. Caveat emptor is not enough. When there are misrepresentations or wrongdoings, the guilty parties must be dealt with severely. Full restitutions for losses must be made to compensate the innocent investors. The public must not be put in a position where they are at the mercy of Issue Managers/Auditors and company management without any recourse. It is inadequate and unfair when a public issue goes drastically wrong due to negligence or misrepresentation and caveat emptor becomes a convenient excuse.

Issue Managers/Auditors and company managers must all be aware of the severity of their actions and the recourse of criminal proceedings if they are found to commit wrongdoings or negligence in the course of listing the companies. The SGX has a duty to protect the public investors.

C. Role of SGX as a Regulator and as a Business Concern

SGX is now a private company with profit making as a primary objective. Its other role as a regulator is now incompatible with its new status. There is a conflict of interests and the two functions must be detached and managed separately. SGX cannot function as a player as well as a referee in the same game. It cannot be objective when it is also involved in generating profits for itself from the system. Even if it does try to be objective, other parties may not perceive it in the same way. Its dual roles only complicate matters further and will undermine the credibility of SGX. People will always be skeptical of whatever actions or decisions it takes that affect the players and the market.


Recommendation 3

For transparency and good business practice, SGX may want to consider relinquishing its role as the regulator of the stock market. An independent agency shall replace SGX to ensure that there is fair play and a level playing field for all the players. No matter how impartial or above board SGX can be, it is in the best interest of SGX for it to be monitored separately. This is to avoid being accused of any complicity whenever a decision is seen to be doubtful in the eyes of the public. An interested party can never be objective in its own dealings.



A Side Issue

I must raise this issue though it is not directly related to the above. It is very serious and it is affecting the viability of the stock market and the stockbroking industry if nothing is done to arrest the problem. I will make it very short and brief.

Before the liberalization of the industry, foreign funds must trade through local broking houses, paying commission for their trades. With liberalization, these huge funds can now trade on their own by setting up offices here. And trade they did at no commission. What this means is that they could literally trade in hundreds of millions of dollars worth of stocks at practically no cost other than the minimal clearing fees and GST. They could thus push stocks up or down at their whims and fancy, making profits at the expense of small investors and traders.

The big trading volumes we are seeing daily are thus fictitious. We have replaced syndicate trading of the past with fund manipulations at a more vicious scale. With syndicate trading activities, at least they still pay some commission that will somehow filter back to lubricate the system. With big fund trading today (including proprietary trading), no commission of such nature will be generated. If syndicate trading activities were seen as an undesirable and criminal act, how can we justify fund manipulations as legitimate and desirable, and at no cost?

When all the small players and traders are wiped out from the market, when there are no more money to be made from the market, these big funds could just wind up their activities over night, and we will have a ghost town, a stock market devoid of trading activities. It will lead to an immediate collapse of the stockbroking industry.

The scenario that I have painted may have been too extreme. But the possibility of it becoming a reality is very real. We have already witnessed the first phase of casualties, the small traders. Most of them have lost their pants or are too fearful to reenter the market.

What the SGX may want to consider is to provide a level playing field for the big boys to play. Let the fund/broking houses, the proprietary traders and the private syndicates be the market movers on equal terms. Let them rejuvenate the market and trade within the existing rules. But the terms given to these players shall not be vastly different from the small players and investors. A special levy comes into mind.

As people are living longer and changing their ideas about old age, more seniors are dating than ever before, experts say. But many older people find that the rules of the game have changed drastically since the last time they dated, four or five decades ago.
These days, seniors are as likely to meet through online dating services or singles cruises as bingo games. Older women are confidently setting boundaries such as refusing to cook or clean for a man even though older single women greatly outnumber older single men. And while bringing protection once meant a purse full of mad money, seniors must now be aware of HIV and other sexually transmitted diseases.
The senior singles scene will only grow as baby boomers the oldest of whom turned 60 last year reach their golden years.
"It's going to be a much bigger issue in the future," gerontology professor Debbie Wagner, at Towson University in Maryland, said of senior dating. "Things are more open now and people are able to pursue what they want, and before they would have felt guilty about even thinking about it."
Tom Walsh, an 80-year-old retired engineer from Rhode Island, said he was overwhelmed by the dating world after his wife of 47 years died six years ago. He said that he discovered that most older women wanted to pay their own way on dates, were not shy about sexuality and were not interested in getting married again.
"I found that it's an entirely whole new arrangement," said Walsh, who wrote a book, "The Senior Dating Scene," about his romantic adventures. "It was dumbfounding. But I got into the swing of things."
That can be a bigger challenge for women, since the pool of eligible men shrinks drastically later in life. According to the 2000 U.S. Census, there are seven men for every 10 women over age 65. Moreover, because women live longer on average, nearly 45 percent of women over 65 are widowed, compared with less than 15 percent of men, according to the census.
Men as a 'hot commodity'
"Some men who have never been players, in their 70s, in a retirement home, can become players," said Wayne Nelson, a Towson University gerontology professor. "They're a hot commodity."
Rebecca Sharp Colmer, the author of "The Senior's Guide to Dating (Again): Traditional and Online," has a name for the women who swarm a widower: the casserole ladies.

At the speed-dating event, part of the Baltimore County Department of Aging's Senior Expo/Baby Boomer Expo at the state fairgrounds, participants were divided into three age categories: 70-plus, 60-69 and 50-59. However, because so few men in their 60s participated, men in the older group were invited to stay for the younger women. Yet the women in their 60s still outnumbered the male participants, 18 to 10.
Richard Donadio, 73, a retired lawyer from Timonium, mingled with the women in the over-70 group and those in their 60s.
"I hope I don't come off as catty, but most of those women seemed too old for me," he said of the older group. A short, trim man who enjoys golf, Donadio said that he wouldn't hesitate to date someone many years his junior.
Frustrations of women
Women say that their frustration over the lack of available men is compounded by the fact that men often pursue younger women.
"It's hard to meet men who are age-appropriate because they're interested in younger women," said Doris Sweet, 68, a Glen Arm resident who attended the speed-dating event. "I think they're not giving us a fair shake."
Sweet, a tall, attractive woman, is a program manager for Hewlett-Packard, who likes to hike, travel and volunteer. She wore a lace blouse with a plunging neckline.
But Sweet said that she has had little luck in finding a man in the decade since her husband died of a brain tumor, despite placing personal ads in the newspaper and online. Recently, she contracted a professional matchmaker.
Seniors face a number of unique dating challenges, experts say. They may feel out-of-place at bars or dance clubs. Those who are retired may have fewer opportunities to interact with new people. And physical impairments, such as not being able to drive at night, may put a crimp in their social lives.
Yet seniors are finding an increasing number of creative ways to meet new sweethearts. Online dating services can be a secure and nonthreatening way for seniors to meet, said Kristin Kelly, a spokeswoman for match.com, a popular dating site. The number of baby boomers using the Web site has jumped 350 percent since 2000, she said. One of the site's most popular users is a 78-year-old retired physician, and some members are in their 90s, she said.

Other seniors meet prospective partners through clubs, volunteer activities or trips. Walsh said that he had attended a singles cruise in Florida. "That was an eye-opener because of all the shenanigans going on," he said.
In Maryland, senior centers hold many events that enable older people to get together, including the popular "Seniors' Prom." On Friday, the Bykota Senior Center in Towson will host a happy hour for single seniors, including beer, wine and live music.
Many senior women are quick to say that although they would like to meet a new friend, they aren't looking for a serious relationship. "I don't want a situation where he comes over every Sunday and expects me to fix dinner for him," said Georgia Peacock, 74. "I've gotten to the point in life where I can enjoy my own company."
Peacock, who joined in the speed dating event, said that she has two male friends, one who accompanies her to dances at the VFW and one who takes her on motorcycle rides. But, she said, she prizes her independence: "The shoes that go under my bed are mine."
Many older women share Peacock's opinion, said Wagner, the gerontology professor.
"Men in general, the research has shown, do better when they're married," she said. "The women do just fine when they're not married."
Enough with marriage
Older women often associate marriage with cooking, cleaning and a loss of autonomy, said Dr. Shana Geloo, clinical director of the Institute for Advanced Studies in Aging and Geriatric Medicine in Washington. "With this population of people, you're looking at people who got married 50 years ago, when gender roles were very different," she said.
Moreover, adult children often pressure their mothers not to date. "Children get upset, especially when their mother is having intimate relations," said Towson University gerontology professor Wayne Nelson.
Sexuality among the elderly can be an uncomfortable topic. "People don't expect or think that their grandmothers are sleeping around or living with someone, but they are," Walsh said.
Baltimore County senior centers have held workshops on safe sex.
Many older people, especially those whose children or grandchildren live far away, simply crave being touched, Nelson said. "When we talk about intimacy at that age, it can range from sexual contact to holding hands or hugging," he said.
Craving companionship
Binder, the redhead at the speed-dating event, said that she would be interested in meeting a man just for occasional trips to the theater or opera. She keeps busy painting and exhibiting her artwork, as well as traveling with her children and grandchildren.

4) Using Insecure, Approval-Seeking, Low-Status Posture, Gestures, Voice Tone, And Body Language
There's a term that single, attractive, in-demand women use to describe men who use weak, approval-seeking posture, gestures,
comments, and mannerisms...
The term is "NICE".
"He's nice... but... there's no chemistry."
This is one of those areas that's not easy to talk about.
Since SO DAMN MANY GUYS do this stuff, it's almost impossible to explain.
It's like trying to tell a fish that they're not going to get anywhere in life
if they stay wet.
The fish doesn't even KNOW it's wet in the first place.
But let me try.
This is important.
Go spend a day observing couples.
Go places where couples that have just met spend time together.
Bars, clubs, coffee shops, whatever.
Now watch the GUYS.
Watch how they lean towards the women.
Watch how they raise their eyebrows in exaggerated response to women's comments.
Watch how they slump over, let their shoulders fall forward, and smile fake-ly at whatever the women say.
If you're close enough, listen to how men ask questions and make comments with a voice tone that says "I'm insecure and I'm trying
to be extra nice to compensate for it".
You'll see it EVERYWHERE.
In fact, you'll see it so much that you'll probably write me back to tell me that I'm the one who's crazy, and that since it happens so much, it must be "the right way".
Well, it's not.
If there's one thing that triggers an attractive single woman's WUSS-DAR, it's a man's posture, gestures, eye contact, voice tone, etc.
It all happens in an INSTANT.
Women read this stuff and interpret it as instantly and accurately as you read and interpret the cover of Playboy.
NO ANALYSIS NECESSARY.
I'd say that probably 90% of all men alive today INSTANTLY disqualify themselves with women because of this problem.
Their voice tone, gestures, posture, etc. TELEGRAPH the message that they're a WUSS.
They do a thousand weird little things to let a woman know that they're uncomfortable and "not being themselves".
And you guessed it...
Single women HATE IT!

5) Not Understanding That She's A Woman And You're A Man
I'm about to get philosophical on your ass, so be cool.
When it comes down to it, most men don't understand women.
But the REAL kicker is that most men don't understand MEN, either!
Most guys don't know what it's like to get in touch with their MALE NATURE.
Combine these two issues, and you get a guy who behaves in ways that DO NOT trigger ATTRACTION in women.
Women have a "nature". A female nature.
Men also have a "nature". You guessed it, it's a MALE nature.
Women are coy. They like to play hard to get. They like to enjoy the chase. They love anticipation. They love to "let a guy catch them"...
Men are competitive. Men are dominant. Men like to play rough games, win things, and rule their territory.
Well guess what?
Most men don't BEHAVE like men when they're in the presence of a woman that they "like".
And since most men don't understand female human nature, they don't demonstrate that they "get it" when they're with women that they "like".
Women like men. Men like women. There are POWERFUL causes at play here.
When you're around a woman you like, don't act like a GIRLY-MAN. It's not sexy, and it's not attractive...
And single women HATE IT!

6) Not Being Interesting To Be Around
Underneath most behavior that I see most guys acting out is a "core belief" that goes like this:
"I don't believe that an attractive woman would want to be around me just because she enjoys my presence... so I make up for it by saying and doing certain things that I hope she'll enjoy... and if she enjoys those
other things enough, then maybe she'll want to spend more time with me."
Heavy, man.
Well guess what? Most attractive single women KNOW that if a guy isn't interesting to be around, they she's eventually going to go CRAZY being around him.
In other words, no amount of material gifts, compliments, dinners, and other "displays" will EVER compensate for a lack of BEING INTERESTING.
Here's a profound thought:
I and several other guys I know have many women who call us often... just because they enjoy being around us.
These women would be happy just to be in the same room with us... and enjoy our company.
And yes, these women CALL US.
Often.
Material gifts, food, flowers, and other "displays" have ZERO lasting value to a woman when it comes to how she FEELS about you...
An attractive single woman wants a guy who LIGHTS HER UP. She wants to FEEL GOOD.
She wants mystery... she wants to laugh... she wants a challenge... she wants sexual tension...
If you're using compliments, gifts, food, and other "displays" to get a woman's attention... you need to ask yourself a tough question:
Is it because you don't believe that a woman would want to be around you just to be around you?
Because if you don't know how to be INTERESTING to a woman, then no amount of compensation is going to fix the problem.
If you're boring, predictable, and uninteresting, then you're never going to have women calling YOU to hang out.
Oh, and women HATE IT.

7) Not Understanding Attraction
This is a BIGGIE.
You hear me talking about it all the time, right?
Maybe now that you've read this newsletter you'll have a better context to understand what I'm about to tell you...
If you "get it" with women, it's SUPER INTERESTING and ATTRACTIVE to them.
Women can INSTANTLY FEEL IT when they're with a guy who "gets it".
Women know very quickly if they're talking to a guy who understands himself and women... and who enjoys creating and building sexual tension.
Women know if a guy speaks the SECRET LANGUAGE of "Sexual Communication".
If he doesn't, then she stops all communication on that level.
If he does, then it continues.
ATTRACTION Isn't A Choice.
Attraction is an emotional and physical RESPONSE... and you can't "convince" a woman to feel it with logic, gifts, and NICENESS.
Attraction is the result of a woman meeting a man who understands how attraction works... and who knows what to do in each specific
situation to progress to the next level.
The PROBLEM with ATTRACTION, and with success with women in general is that the things you need to DO to be successful are NOT
OBVIOUS.
They're "counter intuitive", in many cases.
In other words, they're the OPPOSITE of what you'd THINK would make sense.
You have to do things like CREATE TENSION... stop doing something that she likes... give her time to miss you... etc.
And if you don't understand ATTRACTION, a woman is going to KNOW IT.
And guess what?
Single women HATE IT when a man doesn't understand ATTRACTION and how to communicate on this "other level".
Now that I've shared the mistakes, you need the next piece of the puzzle. You need to get an education on how attraction works for women... and the RIGHT things to do up front to give her those emotional/physical feelings inside.
Right now you're probably feeling that excited "Ah Ha!" feeling.
That's because you understand something at a different level... you've used your mind to understand something complex... and you feel good about bettering yourself.
Well this is just the TIP of the iceberg.
As educational as this has been, this is only the beginning.

In short, I was a thoroughly idealistic kid.  Its true that in some ways I was adamantly non-conformist and marched to the beat of my own drummer, but that wasnt because I believed in diversity.  It was because I believed I was on the one true path and most everyone else was not.
Looking back, I can almost see how I could tell the story of my childhood, adolescence and young adulthood as a tale of my early idealism progressively destroyed by the very real challenges of living in this world.   Yet, even more clearly, I can see how the notion of a human ideal can be part of a much broader and deeper preference for ideals in everything.  In sports, in literature, in painting, in theatre, in war, in love, in politics, in education, in ethics and morals we can be idealists in all of these and in far more than these.
Now, I dont want to give the impression I am entirely against ideals or idealism.  Whether for good or evil, not much gets done in this world without someone saying, I think this situation could be made better.  Without ideals, humans would become as passive as sea anemones.  But our ideals and our idealism should never blind us to the wonderful interlocking complexity of this world. Any person living in the 21st Century who is even moderately concerned with the human prospect and changing the world for the better cannot afford to ignore that blind idealism has gotten us into one mess after the other.   And perhaps perhaps the single most dangerous kind of blind idealism alive in the world today is the childish notion of an ideal human.
As you know, one of humanitys ugliest fools, Adolf Hitler, believed in an ideal human, which he called the .  According to him, the Aryans were the original humans the Adams of our species and all of humanity was descended from them.  So how did the fool explain the diversity of human nature?  Hitler believed human diversity was created by degeneration.  Ultimately, everyone was descended from the original Aryans, but some lineages had degenerated into other inferior, non-Aryan races.   Perhaps I myself would have believed such a stupidity at eight or nine years of age.
In the history of Adolf Hitler, we have a textbook example of how pernicious can be the notion of an ideal human.  Not only is the notion ridiculous as ridiculous as stating there is one perfect size and shape for the human nose   it is also dangerous.
One of the things this world needs needs just as much, or even more, than it needs a fuel efficient automobile or a new medicine is a new vision of what it means to be human.  A vision that is not based in some disproved mythology of an ideal human, but one grounded in the reality of human diversity.  In other words, we need to move from a fantasy-based notion of human nature to a reality-based notion of human nature.  Its time to update the clocks.
Lets be clear about what such a vision entails.  Any notion of what it means to be human implies among many other things both notions of human potential and notions of ethics.  You cannot state, This is the sphere of human nature, without implicitly saying, This is the range of possible human potentials, and these are the limits of any realistic ethics.   A vision of what it means to be human is a package deal.
Will we ever get such a deal?  I am sure we will provided we survive long enough as a species to create it.  Humanity tends to work such things out less by planning than by trial and error, so such a thing will take time.  Yet, we are no longer living back in the days when it took genius to see a new vision of humanity coming down the road.  Anyone who looks today can see it coming.
As with most things, the prospect excites some of us, dismays others, and is ignored by most.
